PARTICIPATION AGREEMENT

 

To participate in this project, libraries must complete the ILS Vendor Settings survey (provided by OverDrive) and sign this Participation Agreement which clarifies expectations and responsibilities of OLS and of participating libraries. The signature of the CEO or equivalent of each library that wishes to participate is required.

OLS will:

Select and order content throughout the annual contract period. Place all orders and pay all bills for hosting fees, annual maintenance, collections, and MARC records. Forward operational information that is relevant to the project, especially product developments and business news about the vendor. Manage a problem resolution system with the vendor.  Circulate any proposed new or changing operational guidelines.

Participating libraries will:

Adhere to the Digital Library Reserve Guidelines (attached to this document as Appendix A). Give feedback to OLS with regard to problems and issues of concern. Pay for any additional services, preparation, systems integration or acquisitions which are not being purchased by OLS. For patron authentication, the library's Integrated Library System must be capable of supporting SIP2 or similar protocol. The library shall, at its own expense, purchase a SIP2 license. If this license is not available, OLS will provide a hosted authentication option or an integrated authentication solution for the duration of the contract with OverDrive. Acknowledge the support of the Ministry and OLS in all reports, advertising and publicity related to the services provided through this agreement. Indemnify and save harmless the Ministry, OLS,  their employees, affiliates, subsidiaries, and successors from and against all claims, liability and expenses related to the services provided through this agreement. Not assign this agreement or any part thereof without the prior written consent of OLS.

Appendix A

DIGITAL LIBRARY RESERVE (DLR) GUIDELINES

Upon launch of the service, the participating library shall include a direct hyperlink and/or logo linked to the DLR service from the librarys home page and other appropriate sub-pages. Such link or logo shall be featured no less prominently than other electronic resources including but not limited to NetLibrary, Recorded Books, MyLibraryDV.

The participating library agrees to deploy the following practices and methods to respect the copyright protection and patron authentication terms of OverDrives publishers and suppliers:

The participating library will respect and deploy the Digital Rights Management protection settings as designated by the publisher that may restrict copying, sharing and/or printing.The participating library acknowledges that the license does not entitle the library to access a copy of the title, but gives the consortium website the right to provide immediate download access to the title after the Digital Rights Management services have been applied.The participating library is not granted any license to use titles for any online use, except for the display of cover art, excerpts and metadata as designated by the publisher and available from OverDrive.The participating library is allowed to check-out content via a download link from the consortium website for an automatic self-expiring use period or time-out, which shall not be less than seven (7) days or other minimum lending period as required by publishers and suppliers.Content that is checked out by a user will not be available for another user to check out unless multiple copies of the title have been licensed, or until the first users time period has expired.The participating library will allow only authorized users of its library to have access to the consortium website for access to the DLR. Authorized users will be defined as those users of the participating library who have the required relation to the participating library to receive a library card.

The participating library will provide primary support for their users via e-mail and/or by phone in direct support of all user inquiries, issues, and problems relating to the service. The participating library will alert OLS of any changes in its account information and cooperate with OLS to implement practices as recommended by OverDrive to reduce the instances of technical support issues.
